By accessing or using Mostly ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you do not have permission to access the Service. The Service is operated by Mostly Pte. Ltd., a company registered in Singapore. These Terms constitute a legally binding agreement between you and Mostly Pte. Ltd. You must be at least 18 years of age to use this Service. By using the Service, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms.

Our Service integrates with various third-party platforms to provide its functionality. By using our Service, you also agree to be bound by the terms of service of the third-party platforms you connect with. YouTube Integration: By using the YouTube features of our Service (including but not limited to uploading videos to YouTube, accessing channel information, or any other YouTube-related functionality), you agree to be bound by the YouTube Terms of Service (https://www.youtube.com/t/terms). You can review YouTube's Terms of Service at: https://www.youtube.com/t/terms You can review Google's Privacy Policy at: https://policies.google.com/privacy Other Third-Party Services: When connecting other social media accounts (such as TikTok, Instagram, or other platforms), you agree to comply with their respective terms of service. We encourage you to review the terms of service for any platform you connect to our Service.

Mostly is an AI-powered video editing platform that provides automated video clipping, transcription, captioning, and content creation tools. The Service uses various artificial intelligence models and technologies to process and enhance video content. The Service includes but is not limited to: • AI-powered video clip detection and extraction • Automated transcription and captioning • Video editing and enhancement tools • Cloud storage for user content • Export and publishing features We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time without prior notice.

When you create an account with us, you must provide accurate, complete, and current information. Failure to do so constitutes a breach of these Terms. You are responsible for safeguarding the password and for all activities that occur under your account. You agree not to disclose your password to any third party and to notify us immediately upon becoming aware of any breach of security or unauthorized use of your account. You may not use as a username the name of another person or entity that is not lawfully available for use, or a name or trademark that is subject to any rights of another person or entity without appropriate authorization.

The Service operates on a credit-based system. Credits are used to access various AI features and are consumed based on usage. Credit costs vary depending on the features used. Subscription Plans: • Credits refresh monthly for monthly plans and yearly for annual plans, based on your subscription start date • Unused credits do not roll over to the next billing period • Upgrading mid-cycle starts a new billing period • You may upgrade from a monthly to a yearly plan at any time • Downgrading from yearly to monthly is not supported • If you exceed your credits, you may purchase additional top-up credits Cancellation: • You may cancel your subscription at any time • Your access will remain active until the end of your current billing period • You will not be charged after cancellation Payment Failures: • If payment fails, we will retry the transaction and provide a 60-day grace period • If payment remains unresolved, your account may be downgraded • At Day 14, you will receive a reminder notification • At Day 45, your content will be moved to trash (soft deleted) • At Day 60, all content will be permanently deleted • If you resubscribe before Day 60, your content will be fully restored

All purchases are generally non-refundable. We may consider refund requests within the first 7 days of purchase only if your credits remain 100% untouched. All refund requests are subject to review and approval. We reserve the right to decline requests in cases of suspected fraud or abuse. If generations fail due to technical problems on our side, credits for that generation are refunded at cost automatically. You can view refunded credits in Settings → Credits. To request a refund, please contact us at [email protected] with your account details and reason for the request.

You agree not to use the Service to upload, process, or distribute: Prohibited Content: • Illegal content of any kind • Sexually explicit or NSFW (Not Safe For Work) material • Content that infringes on intellectual property rights of others • Copyrighted material without proper authorization or rights • Content that promotes violence, hatred, or discrimination • Malware, viruses, or any malicious code • Content that violates the privacy of others • Spam, misleading, or deceptive content You are solely responsible for ensuring you have the necessary rights and permissions to use any content you upload to the Service. We reserve the right to remove any content and terminate accounts that violate these terms without prior notice.

Your Content: You retain ownership of all content you upload to or create using the Service ("User Content"). By using the Service, you grant Mostly Pte. Ltd. a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display your User Content solely for the purpose of operating, improving, and promoting the Service. This license includes the right to use anonymized or aggregated data from your usage for: • Training and improving our AI models • Marketing and promotional purposes • Research and development Our Content: The Service and its original content (excluding User Content), features, and functionality are and will remain the exclusive property of Mostly Pte. Ltd. and its licensors. The Service is protected by copyright, trademark, and other laws of Singapore and foreign countries.

The Service uses artificial intelligence to process and generate content. You acknowledge and agree that: • AI-generated outputs may not be 100% accurate • Transcription accuracy is approximately 97% but may vary depending on audio quality, accents, and other factors • AI-detected clips and suggestions are algorithmic recommendations and may not always capture the most relevant moments • You are responsible for reviewing and verifying all AI-generated content before use • We do not guarantee any specific results or outcomes from using the Service The Service is provided "as is" without any warranties regarding the accuracy, reliability, or suitability of AI-generated content for any particular purpose.

Your files and content are stored securely on Cloudflare R2 infrastructure. We implement industry-standard security measures to protect your data. Data Retention: • Your content is stored while your account is active and in good standing • Upon payment failure, you have a 60-day grace period before permanent deletion • At Day 45 after payment failure, your content is moved to trash (soft deleted) • At Day 60, all content is permanently deleted; resubscribing before this restores your content • Upon voluntary account deletion, your data will be retained for up to 90 days before permanent deletion • You may export or download your data at any time before account or content deletion For more information about how we handle your data, please refer to our Privacy Policy.

To the maximum extent permitted by applicable law, in no event shall Mostly Pte. Ltd., its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from: • Your use or inability to use the Service • Any unauthorized access to or use of our servers and/or any personal information stored therein • Any interruption or cessation of transmission to or from the Service • Any bugs, viruses, trojan horses, or the like that may be transmitted to or through the Service • Any errors or omissions in any content • Any AI-generated content or recommendations Our total liability to you for all claims arising from or related to the Service shall not exceed the amount you paid to us in the 12 months preceding the claim.

You agree to defend, indemnify, and hold harmless Mostly Pte. Ltd. and its licensees, licensors, employees, contractors, agents, officers, and directors from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from: • Your use of and access to the Service • Your violation of any term of these Terms • Your violation of any third-party right, including without limitation any copyright, property, or privacy right • Any claim that your User Content caused damage to a third party

We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination: • Your right to use the Service will immediately cease • You may request export of your data within the retention period • Any outstanding payment obligations will remain due • Provisions that by their nature should survive termination shall survive You may terminate your account at any time by contacting us or using the account deletion feature in your settings.

These Terms shall be governed and construed in accordance with the laws of Singapore, without regard to its conflict of law provisions. Any disputes arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Singapore. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

We reserve the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Service.
